SecureSwipe Terms and Conditions Agreement

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE REGISTERING FOR THIS SERVICE:
This Terms and Conditions Agreement is between Midstates Bank and our Debit Card Customers (Business and/or Consumer) regarding Customer's election for the ability to manually lock and unlock their debit card(s) electronically.

1. DEFINITIONS
As used in this Agreement, the following terms shall mean: "Agreement" refers to this SecureSwipe Terms and Conditions Agreement. The words "we", "us", "our", "Midstates Bank" and "Bank" refer to Midstates Bank, the depository institution which will provide the Service pursuant to this Agreement. The words "you" and "your" in this Agreement refer to Business and/or Consumer Midstates Bank Debit Card Customers who will be using the Service pursuant to this Agreement. "Service" refers to the SecureSwipe Service.

2. DESCRIPTION OF SERVICE
Registering for this service indicates your desire to manually lock and unlock your debit card. You understand that by clicking the "Accept" button below, you are agreeing that all one-time transactions will not be processed/approved unless the card has been manually unlocked by you, the user. Recurring Debit Card transactions are expected to take place without manual intervention by you the customer*.
*Locked cards will accept payments only if flagged by the merchant as recurring. In some cases, the first in a series of recurring payments may fail because it is seen as a one-time payment. The card will need to be unlocked to perform the transaction.
Some local businesses, may not currently send recurrence information with automated debits. SecureSwipe users are reminded to check their accounts frequently to ensure all bills are paid on time and, if not, to make different payment arrangements for those merchants.

3. ACCEPTANCE OF TERMS AND CONDITIONS
BY SELECTING "ACCEPT", YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT AND YOU ACCEPT THIS AGREEMENT WITHOUT MODIFICATION. BY ACCEPTING THIS AGREEMENT, YOU CONSENT TO THE SECURESWIPE SERVICE. YOU UNDERSTAND THIS AGREEMENT IS EFFECTIVE AT THE DATE AND TIME OF THE BANK'S RECEIPT OF THIS ELECTRONIC AGREEMENT AND SIGNATURE. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU UNDERSTAND THAT YOU SHOULD NOT SELECT "ACCEPT" AND THAT YOU SHOULD NOT USE THE SERVICE.
